TERMS AND CONDITIONS

BREAD.GG PLATFORM

GENERAL PROVISIONS
-
These Terms of Service describe how BREAD Platform INC, a company
established under the laws of Panama with its registered office in
Panama City, address: Bloc Office Hub, Fifth Floor, Santa Maria
Business District, Panama City, Panamá, 801 - Panama
(“Bread”, “we”, “our” or “us”) collects and uses your personal data and cookies in
connection with your use of the Platform and the Service.”.

The Terms apply to your use of the Platform and Services made
available to you through the Platform. The Terms set out in
particular:
-
the types and scope of electronically supplied services;
-
the conditions for the supply of services by electronic means of
communication, including:
-
technical requirements requisite for cooperation with the ICT Systems
used by BREAD;
-
a prohibition on providing illegal content by the User;
-
the conditions for making and terminating contracts of electronically
supplied services;
-
a complaint procedure.
-
The following annexes are an integral part of these Terms:

Annex no. 1 – LIST OF RESTRICTED COUNTRIES;

Annex no. 2 – TEMPLATE WITHDRAWAL FORM FOR CONSUMERS;
-
Annex no. 3 – RISK NOTICE;

Annex no. 4 – FEES SCHEDULE;

The currently applicable and binding Terms are available on the
Platform in a form that enables their recording, storage, and
reproduction by the User. The content of the Terms may be recorded and
reproduced by the User using any technique on any media for purposes
related to the use of the Platform and the Services.

Before accessing the Platform or using any of the Services, you must
carefully read and understand the Terms and the Privacy Policy. By
accessing the Platform or using any of the Services, you acknowledge
that you have carefully read, understood, and agreed to be bound by
the Terms and the Privacy Policy.

IF YOU DO NOT ACCEPT THESE TERMS IN THEIR ENTIRETY, YOU MUST NOT
ACCESS OR USE THE PLATFORM OR THE SERVICES.

You may contact BREAD as regards the matters related to the Platform or the Services
using one of the following channels:

We may communicate with you through the same contact channels as set
forth in Section 2.1. above. If you use these communication channels, you agree that BREAD may communicate with you through these channels in
response.

We may also communicate with you by posting information on the
Platform or by sending an email to the email address provided by you
when using the Platform or the Services.

TECHNICAL REQUIREMENTS FOR THE USE OF THE PLATFORM AND
SERVICES
-
The technical requirements for the use of the Platform and Services
are as follows:
-
an Internet-connected device with the latest operating system,
Internet access and a current standard web browser (e.g. Chrome,
Safari, Mozilla Firefox, Opera or Microsoft Edge);
-
cookies and JavaScript enabled in the web browser;
-
screen resolution when displaying the Platform is at least 1280x720 pixel.
-
The technical requirements for the use of the Services other than
Content Access Service are as follows:
-
having an active e-mail account.
-
having an active Wallet (e.g. an external off-Platform Wallet
provided by a Third-Party etc.).
-
LEGAL REQUIREMENTS FOR THE USE OF THE PLATFORM AND SERVICES
-
The legal requirements for the use of the Platform and the Services
are as follows:
-
you must be at least 18 years old or of the legal age in accordance
with the Applicable Law at the time of accessing the Platform;
-
you must have the full legal capacity to conclude agreements under
the Applicable Law;
-
comply with additional requirements as regards specific Services set
out in these Terms (if applicable).
-
If you do not meet with any of the requirements set out in Section 4.1, you are obligated to refrain from accessing and using the
Platform or Services.
-
COMPLIANCE WITH THE APPLICABLE LAW
-
The User must comply with the Applicable Law, including the local
laws regarding the lawful use of the Services in the User’s
jurisdiction.
-
NO SERVICES FOR RESTRICTED USERS
-
BREAD does not provide any Services to Users who are Restricted
Individuals, including who are located in a Restricted Country, are
citizens of a Restricted Country or are residents of a Restricted
Country. The list of Restricted Countries is set out in Annex no. 1 to these Terms.
-
The User declares that the User is not a Restricted Individual,
including is not located in a Restricted Country, is not a citizen of
a Restricted Country nor is a resident of a Restricted Country during
the whole duration of using the Services provided by BREAD.
-
NO ADVICE
-
BREAD is not your legal advisor, tax advisor, Crypto-Assets advisor,
financial advisor, or any other advisor of any kind. The Content, the
Platform, these Terms, or any other legal document issued by BREAD in connection with the Platform and the Services are not
intended to be or contain any sort of advice and should not be
construed as such. In particular we do not provide any investment,
financial, legal, or tax advice to anyone in the Content, the
Platform, these Terms or any other legal document issued by BREAD in connection with the Platform and the Services.

You should consult your independent financial, legal, or tax
professionals before using the Platform and the Services to assess if
your use of the Platform and the Services would comply with the
regulatory requirements of the Applicable Law and/or what regulatory
requirements would you need to comply with to issue to use the
Platform and the Services in compliance with the Applicable Law. All
decisions made by the User when using the Platform or the Services are
based solely on the User’s own assessment of the User’s
situation and objectives and are User’s sole
responsibility.

NO SOLICITATION OF EEA USERS
-
BREAD does not solicit clients or prospective clients established or
situated in the EU and does not promote or advertise its Services
involving Crypto-Assets or activities in the EU.
-
BREAD does not provide any Services involving Crypto-Assets to Users
established or situated in the EU, unless such User initiates at its
own exclusive initiative the provision of such Services involving
Crypto-Assets.

KNOW YOUR CUSTOMER VERIFICATION
-
The User is obligated to undergo the KYC verification as it is
necessary for performance of a contract between the User and BREAD pertaining to the use of the Platform and/or the Services.
-
The User authorizes BREAD to conduct activities, either directly or through third
parties, that BREAD deems necessary to verify the User’s identity or to
protect the Parties from fraud, money laundering, terrorist financing
or other financial crimes, and to take any steps BREAD deems necessary based on the results of such activities.
-
The User is obligated to provide requested information at BREAD’s request for the purpose of complying with the Applicable
Law, in particular as regards the detection of money laundering,
terrorist financing, fraud, or any other financial crime. The User is
obligated to provide information described in the previous sentence
truthfully, accurately, without withholding or conceiving any data,
without any undue delay and, if possible, in the form requested by BREAD. Such requested information may include in particular additional
information or explanation concerning the BREAD’s findings after KYC verification.

The User acknowledges that:
-
the User’s personal data will be processed by BREAD in connection with application of the applicable customer due
diligence measures or other measures required under the Applicable
Law;
-
BREAD may disclose the User’s personal data to agencies engaged
in identity verification, compliance data recording, credit agencies,
fraud prevention or financial crime prevention, as well to other
Third-Parties engaged by BREAD as service providers (e.g. providers of KYC or CDD
solutions);
-
automated decision-making takes place in connection with the KYC
verification or other measures required under the Applicable Law and
is necessary for the User’s identification and identity
verification in connection with executing and performing the
Agreement;
-
detailed description of personal data processing in connection with
the KYC verification is set out in the Privacy Policy.
-
The User represents that all information provided by the User for the
KYC verification purposes is complete, accurate and truthful. The User
is obligated to immediately inform BREAD of any changes to the provided information or update this
information whenever it changes.
-
GENERAL RULES OF USE OF THE SERVICES
-
The Platform and/or the Services are provided in English and certain
other languages as listed in the Platform’s interface.
-
The User is authorized to use the Platform and/or the Services
exclusively for personal use.
-
The User is obliged to use the Platform and/or the Services in
accordance with these Terms, the Applicable Law, and good market
practices, respecting personal rights and intellectual property
rights, in particular our rights or rights of any Third-Parties. In
particular, the User undertakes:
-
not to transmit or upload any Prohibited Content;
-
not interfere with or disrupt the operation of the Services or ICT
Systems;
-
not impersonate any person or entity, misrepresent information, or
otherwise misrepresent your affiliation with a person or entity;
-
not collect or gather email addresses or other contact details of
other Users by email or otherwise for the purpose of sending
unsolicited emails or other unsolicited communications;
-
not advertise or offer to sell or purchase any goods or services for
any purpose not expressly permitted by BREAD;
-
not support, assist, or promote any criminal activity or
enterprise;
-
not access or use the Services to create products or services that
compete with the Services;
-
not modify, reproduce, duplicate, copy, download, store, further
transmit, distribute, transfer, disassemble, broadcast, publish,
remove, or alter any copyright statement or label, or license,
sublicense, sell, mirror, design, rent, lease, trademark, grant a
security interest in or to any portion of the property, or create
derivative works or otherwise exploit any portion of the property with
respect to the BREAD Content, the App, or the Services - without the prior written
consent of BREAD;

not use deep linking, indexing robots, bots, spiders, or other
automated devices, programs, scripts, algorithms or methods, or any
similar or equivalent manual process to access, obtain, copy or
monitor any element of BREAD’s intellectual property, or replicate or circumvent the
navigational structure or presentation of the BREAD Content, the Platform, or the Services in any way, to obtain or
attempt to obtain any materials, documents, or information by any
means not intentionally made available through the Services or the
Platform in accordance with these Terms.

SERVICES
-
We provide the following Services under the Agreement:
-
the Content Access Service - a service provided to the User under these Terms, described
in particular in Section 13. CONTENT ACCESS SERVICE;
-
the Account Service - a service provided to the User under these Terms, described
in particular in Section 14. ACCOUNT SERVICE;
-
the Custodial Wallet Service - a service provided to the User under these Terms, described
in particular in Section 15. CUSTODIAL WALLET SERVICE;
-
the Crypto-Assets Exchange Service – a service provided to the User under these Terms,
described in particular in Section 16. CRYPTO-ASSETS EXCHANGE SERVICE;
-
the Referral Service – a service provided to the User under these Terms,
described in particular in Section 17. REFERRAL SERVICE.

CONCLUSION OF THE AGREEMENT
-
The Agreement between User and BREAD on the use of the Platform and the Services is concluded as
regards:
-
the Content Access Service - when the User accesses the Platform;
-
the Account Service – when the User starts using the Account Service as
described in Section 14.2.;
-
the Custodial Wallet Service - when […];
-
the Crypto-Assets Exchange Service – when the User issues the first Order to be executed by BREAD;
-
the Referral Service – when the User copies the unique referral link available
on the Platform’s interface made available after creating an
Account.
-
CONTENT ACCESS SERVICE
-
The Content Access Service consists of enabling the User to access
the Content.
-
To start using the Content Access Service, the User must visit the
Platform using the User's web browser.
-
The use of the Content Access Service does not require an
Account.
-
The use of the Content Access Service is free of charge.
-
ACCOUNT SERVICE
-
The Account Service consists of enabling the User to use certain
Services related to the Crypto-Assets provided by BREAD through the Platform. By using the Account Service, the User
creates the User’s Account.
-
To start using the Account Service, the User must:
-
fill in the registration form, including by providing the following
data: User’s email address (mandatory), User’s nickname
(mandatory), User’s password (mandatory), referral code
(optional);
-
confirm that the User has read and accepts the Terms and the Privacy
Policy, as well as that the User is at least 18 years of age by way of
ticking the relevant checkbox(es) on the Platform’s
interface;
-
submit the registration form by way of clicking the “Sign Up
Now” button (or button with equivalent information).
-
The User will receive a confirmation email after successful
registration.
-
The Account allows the User to:
-
access other certain Services;
-
access the Transactions history of the User;
-
access the User’s portfolio of Supported Crypto-Assets held in
the Crypto-Asset Account provided by BREAD;
-
access the information on the history prices of Supported
Crypto-Assets;
-
set the “Favourite” tag to the chosen Supported
Crypto-Assets;
-
access dedicated subpage of a specific Supported Crypto-Asset,
including the history of other User’s transactions involving
that of Supported Crypto-Asset;
-
access and use the public (accessible by other Users) chat function
assigned separately to each dedicated subpage of a specific Supported
Crypto-Asset;
-
manage notification settings;
-
manage User’s data, such as password, nickname on the Platform,
User’s email address and so on.
-
The use of the Account Service is free of charge.
-
CUSTODIAL WALLET SERVICE
-
The Account Service consists of enabling the User to use BREAD Custodial Wallet that allows the User to store, track,
transfer, receive, and manage Supported Crypto-Assets.
-
One User may have only one BREAD Custodial Wallet at any time.
-
The balance on the User’s BREAD Custodial Wallet is represented in the Platform’s interface by USDC$ with each USDC$ being equivalent to one US dollar.
-
The User acknowledges that:
-
all Supported Crypto-Assets held in the User’s BREAD Custodial Wallet are held by BREAD for the User’s benefit on a custodial basis.
-
legal title (ownership) of the Supported Crypto-Assets in the
User’s BREAD Custodial Wallet at all times remains with the User and is not at any time transferred
to BREAD as a loan or under any other legal title;
-
the User, as an owner of the Supported Crypto-Assets held in the User’s BREAD Custodial Wallet, bears risk arising from owning the Supported Crypto-Assets, such as fluctuations in price;
-
BREAD does not grant any interest in the Supported Crypto-Assets held in the User’s BREAD Custodial Wallet;
-
BREAD will not sell, transfer, loan, or in any other way alienate or
encumber the Supported Crypto-Assets held in the User’s BREAD Custodial Wallet, unless requested to do so by a competent authority or a court
of law under the Applicable Law;
-
the User controls the Supported Crypto-Assets held in the User’s BREAD Custodial Wallet and may withdraw them to an off-Platform Wallet belonging to a User
or a Third-Party, subject to these Terms and other applicable terms
and conditions, as well as objective circumstances arising from use of
the blockchain technology, such as protocol requirement, time to
process blockchain operations, forks etc.;

BREAD is not obligated to issue, refund or grant any replacement of the Supported Crypto-Assets held in the User’s BREAD Custodial Wallet or equivalent of their economic value in the event that any Supported Crypto-Assets held in the User’s BREAD Custodial Wallet are lost, stolen, destroyed, burned, or otherwise made permanently
inaccessible due to the User’s instructions or actions, such as
ordering BREAD to transfer such Supported Crypto-Assets held in the User’s BREAD Custodial Wallet to a burn address.

The use of the Custodial Wallet Service requires an active Account and successful KYC verification.
-
The use of the Custodial Wallet Service is subject to BREAD Fees.
[Deposit of Supported Crypto-Assets]
-
The User may transfer User’s Supported Crypto-Assets to the
User’s BREAD Custodial Wallet by navigating to the “Deposit” tab on the
Platform’s interface and either:
-
transferring appropriate amount of the Supported Crypto-Assets to the User’s BREAD Custodial Wallet;
-
using Third-Party Services accessible through the Platform, such as
Apple Pay or Google Pay, to transfer appropriate amount of fiat
currency to a Third-Party ordering it to transfer a corresponding
amount of the Supported Crypto-Assets to the User’s BREAD Custodial Wallet; for the avoidance of doubt, BREAD is not a provider of such off-platform services and the Section
20. THIRD-PARTY SERVICES apply accordingly.
[Withdrawal of Supported Crypto-Assets]

The User may withdraw User’s Supported Crypto-Assets from the
User’s BREAD Custodial Wallet by navigating to the “Withdraw” tab on the
Platform’s interface and either:
-
providing a public address of an off-Platform Wallet to which the User wants to
withdraw the User’s Supported Crypto-Assets;
-
ordering BREAD to transfer User’s Supported Crypto-Assets to a
Third-Party which exchanges them to a chosen fiat currency and
transfers a a corresponding amount of fiat currency to the User’s fiat
currency account of other Third-Parties, such as account available in
Apply Pay or Google Pay service, or a User’s bank account; for the avoidance of doubt, BREAD is not a provider of such off-platform services and the Section
20. THIRD-PARTY SERVICES apply accordingly.
[Deposits and withdrawal limits]

BREAD adopts deposits and withdrawal limits set out in the Annex no. 7 – DEPOSIT AND WITHDRAWAL LIMITS.
[Compliance with the Applicable Law and anti-fraud measures of BREAD]
-
In order to comply with the requirements set out by the Applicable
Law, including anti-money laundering and counter-terrorist financing,
and to prevent fraud, BREAD has the right to review any activity and activity pertaining to
the User’s BREAD Custodial Wallet, including requesting further information, data or documents from
you.
-
When required under Applicable Law, BREAD has the right to freeze the User's Supported Crypto-Assets
or suspend the Account until BREAD's reasonable doubts are clarified in the case of:
-
failure by the User to provide information, data or documents
requested by BREAD;
-
provision by the User of incomplete, false or untrue information,
data or documents requested by BREAD;
-
the User provides information, data or documents requested by BREAD after the date set by BREAD.
-
CRYPTO-ASSETS EXCHANGE SERVICE
-
The Crypto-Assets Exchange Service consists of enabling the User to
issue Orders in accordance with which BREAD carries out Transactions, including exchange operations between Supported Crypto-Assets.
-
The Crypto-Assets Exchange Service is available 24/7 (twenty-four
hours a day) seven days a week, with the exception of:
-
maintenance periods, of which BREAD shall inform the User in advance;
-
reasons beyond the control of BREAD, including the availability, quality or capacity of the Internet or
blockchain network connection.
-
The use of the Crypto-Assets Exchange Service requires an active
Account, an active BREAD Custodial Wallet and successful KYC verification.
-
The use of the Crypto-Assets Exchange Service is subject to BREAD Fees and Gas Fees
[Types of Orders]
-
The User may place the following Orders in accordance with the
Terms:
- Sell Order;
- Purchase Order.
-
BREAD reserves the right to refuse to process or cancel any pending Orders as required by law, regulation or any court or other authority
to which BREAD is subject in any jurisdiction, for instance, if there is
suspicion of money laundering, terrorist financing, fraud, or any
other financial crime.
[Match-making mechanism]
-
BREAD uses a matching mechanism for each trading pair, i.e. a User
who issues Sell Order and a User who issues corresponding Purchase
Order, to match the Purchase Order with the Sale Order.
-
BREAD organises the execution of Orders anonymously so that the User
who issues Sell Order and the User who issues corresponding Purchase
Order do not know each other's identity.
-
The Transaction price is calculated on the basis of a matching
mechanism considering the amount of the relevant Purchase Order, the
amount of the relevant Sale Order and the relevant BREAD Fee.
[Order book]
-
BREAD keeps a record of Orders in an order book and registers all
Transactions in the order book after matching Purchase Orders and Sell
Orders through the match-making mechanism.
[Placing of Orders – general rules]
-
By placing an Order, the User confirms that he or she understands and
accepts the following provisions:
-
The User is responsible for correctly entering the details of the
Order, including the number and type of Supported Crypto-Assets the
User intends to buy or sell, the gross price for the Order and the
number and type of Supported Crypto-Assets to be transferred to the
User;
-
The User may cancel an Order or parts thereof if he or she does not
wish it to be executed, with the risk that the Order or part thereof
will be executed before BREAD receives the request for cancellation, with BREAD exercising due diligence to process requests for cancellation
of Orders without undue delay;
-
The time required to complete an Order will depend on various
factors, including activities of Third-Parties;
-
Supported Crypto-Assets held in the held in the User’s BREAD Custodial Wallet and used by the User to fulfil the Order must:
-
have sufficient value to pay the Order and Fees;
-
be free from any lien, charge or encumbrance;
-
must be owned by the User;
-
must originate from legitimate sources and not originate or be linked
to any breaches of the Applicable Law, in particular may not originate
from unlawful sources (e.g. crimes).
-
A Transaction is not considered completed when it has the status
"IN TRANSACTION". (or any other with equivalent content).
The funds associated with such a Transaction are marked accordingly
and will not be available to carry out other Transactions.
[Placing of Orders – Purchase Orders]
-
The User may place a Purchase Order by way of interacting with the
Platform’s interface.
-
The User acknowledges that a Purchase Order:
-
involves the purchase of Supported Crypto-Assets held in the
User’s BREAD Custodial Wallet handled by BREAD on behalf of the User;
-
is executed if the User has sufficient funds, including sufficient
amount of the Supported Crypto-Assets held in the User’s BREAD Custodial Wallet, to cover the amount of the Purchase Order,
which includes the purchase price and associated BREAD Fees and/or Gas Fees;
-
is recorded by BREAD, including in the order book.
-
Once the User has submitted a Purchase Order, the amount, which
includes the purchase price and associated BREAD Fees and/or Gas Fees, shall be blocked and marked "IN
PROGRESS" on the BREAD Custodial Wallet. If the Purchase Order is partially completed,
the unused amount shall remain blocked and marked "IN
PROGRESS" on the BREAD Custodial Wallet until the uncompleted part of the Purchase Order is completed or the
uncompleted part of the Purchase Order is cancelled. The amounts
marked "IN PROGRESS" cannot be used for other Purchase
Orders.

BREAD shall apply reasonable diligence to deliver the Supported
Crypto-Assets purchased by the User as a result of a Purchase Order at
the earliest reasonable and prudent time in accordance with these
Terms. The User acknowledges and accepts that:
-
the delivery of Supported Crypto-Assets may be made independently of
the payment process and that the processing of the transfer of
Supported Crypto-Assets will be made promptly, but no later than
within 3 days;
-
the precise delivery time may be difficult to determine due to the
limitations of blockchain technology to validate transactions in
blocks and the bandwidth of the relevant blockchain network, which may
fluctuate; depending on the respective blockchain network,
technological limitations on the number of transactions per second
(TPS) may apply, which, in the case of high network traffic, may
increase the delivery time for reasons beyond the control of BREAD;
-
in certain special circumstances, the delivery time for purchased
Supported Crypto-Assets may take longer than 3 days;
-
In certain special circumstances BREAD may be prohibited by the Applicable Law of a court order or other order of a competent authority from
completing a Purchase Order, including the delivery of Supported
Crypto-Assets.
-
All BREAD Fees and/or Gas Fees will be charged by BREAD at the time the Purchase Order is placed. The User will be
informed of these in advance via the Platform interface.
-
Purchased Supported Crypto-Assets will be transferred by BREAD to the User’s BREAD Custodial Wallet.
[Placing of Orders – Sell Orders]
-
The User may place a Sell Order by way of interacting with the
Platform’s interface.
-
The User acknowledges that a Sell Order:
-
involves the sale of the Supported Crypto-Assets held in the
User’s BREAD Custodial Wallet handled by BREAD on behalf of the User ;
-
is executed if the User has sufficient funds, including sufficient
amount of the Supported Crypto-Assets held in the User’s BREAD Custodial Wallet, to cover the amount of the Sell Order,
which includes the purchase price and associated BREAD Fees and/or Gas Fees;
-
is recorded by BREAD, including in the order book.
-
Once the User has submitted a Sell Order, the amount, which includes
the purchase price and associated BREAD Fees and/or Gas Fees, shall be blocked and marked "IN
PROGRESS" on the. If the Sell Order is partially completed, the
unused amount shall remain blocked and marked "IN PROGRESS"
on the BREAD Custodial Walletuntil the uncompleted part of the Sell Order is
completed or the uncompleted part of the Sell Order is cancelled. The
amounts marked "IN PROGRESS" cannot be used for other Sell
Orders.
-
All BREAD Fees and/or Gas Fees will be deducted by BREAD from the sales proceeds as a result of the execution of the
Sales Order before they are transferred to the User’s Custodial
Wallet. The User will be informed of these in advance via the Platform
interface.
-
Proceeds from the sale of Supported Crypto-Assets in the form of
Supported Crypto-Assets will be transferred by BREAD to the User’s BREAD Custodial Wallet.
[Cancellation of Orders]
-
The User may cancel an Order after it has been submitted, but only in
respect of its unfulfilled (unexecuted) part by way of interacting
with the Platform’s interface.
-
BREAD has the right to cancel an Order immediately if it has not been
executed or has been executed in part if:
BREAD is obligated to do so under the Applicable Law or a court order
or order of a competent authority; or
-
BREAD deems it necessary due to a reasonable suspicion that the Order
involves money laundering, terrorist financing or other activities
contrary to Applicable Law or the Terms;
-
in the reasonable opinion of BREAD, there are other relevant circumstances, in particular relating to
disruptions to the Internet, the blockchain network or the occurrence
of other significant technical errors.
-
All amounts of the cancelled Order in respect of its its unfulfilled
(unexecuted) part shall be returned to the User.
[Erroneous Orders]
-
The User shall be liable for any mistake, error or defect that may
arise during any Transaction as a result of the entry of incorrect,
incomplete or mistaken data into the Platform interface or the
issuance of incorrect, incomplete or mistaken Instructions.
-
BREAD will not be liable for any loss or damage resulting from any of
the activities described in Section 16.27, including any inter-address transfers, Transactions, deposits or
withdrawals resulting from improper actions or activities of the User,
or erroneous operations, deposits or withdrawals resulting in the loss
of the User's Supported Crypto-Assets. BREAD will not compensate the User for any losses resulting from such
actions.
[Compliance with the Applicable Law and anti-fraud measures of BREAD]

In order to comply with the requirements set out by the Applicable
Law, including anti-money laundering and counter-terrorist financing,
and to prevent fraud, BREAD has the right to review any activity and activity pertaining to
the Transactions, including requesting further information, data or
documents from you.
-
When required under Applicable Law, BREAD has the right to freeze the User's Supported Crypto-Assets
or suspend the BREAD Custodial Wallet and/or the User’s Account until BREAD's reasonable doubts are clarified in the case of:
-
failure by the User to provide information, data or documents
requested by BREAD;
-
provision by the User of incomplete, false or untrue information,
data or documents requested by BREAD;
-
the User provides information, data or documents requested by BREAD after the date set by BREAD.
[Transaction limits]
-
Bread adopts general Transaction limits set out in the Annex no. 5 – TRANSACTION LIMITS.
-
Bread has the right, at any time without prior notice and without
giving reasons, to set minimum and/or maximum amounts for a single
Order by way of communicating them to the affected User(s) through the
Platform’s interface or by using other means such as email
message. The Transaction limits referred to in the preceding sentence
may result from Applicable Law or, for technological reasons related
to the operation of the relevant blockchain network, including the
protocol of the relevant network, or due to the way the match making
mechanism operates.

REFERRAL SERVICE
-
The Referral Service consists of enabling the User to invite
potential Users to set up an Account on the Platform.
-
To start using the Referral Service, the User must:
-
log in to the User’s Account; and
-
copy the unique referral link available on the Platform’s
interface – for the avoidance of doubt, the unique referral link
is made available only after entering into a Loan Agreement.
-
The User may share the unique referral link with potential
Users.
-
The User who has successfully referenced other Users using the unique
referral link may receive benefits in form of a commission from platform fees. A “successful reference” means a situation when a User
creates an Account using the unique referral link of another User.
-
The use of the Referral Service does not require an Account.
-
The use of the Referral Service is free of charge.
-
BREAD FEE AND GAS FEE
-
BREAD collects Bread Fees and Gas Fee.
-
The User authorizes BREAD, or BREAD’s Crypto-Assets payment processor (if applicable), to debit or
deduct any applicable fees due in connection with the use of the
Services, including the BREAD Fees and Gas Fee, from the Supported Crypto-Assets transferred
using the Platform.
[BREAD Fees]
-
The BREAD Fees are charged by BREAD.
-
The amounts of the BREAD Fees are set out in Annex no. 4 these Terms and are displayed on the Platform’s interface
when the User orders a Service for a remuneration.
-
BREAD may change the BREAD Fees in accordance with Section 23. AMENDMENTS TO THE TERMS. In such case the User will be notified of a
change to the BREAD Fees in accordance with the Section referred to in the
preceding sentence.
[Gas Fee]
-
The Gas Fee is charged by the smart contract.
-
The maximum estimated amount of the Gas Fee is displayed on the
Platform’s interface when the User orders a Service which
requires payment of the Gas Fee.
-
The User acknowledges that:
-
BREAD collects a Gas Fee for the benefit of the recipients of the Gas
Fee who are network validators to cover the network validators'
costs associated with processing transactions on the blockchain
network;
-
BREAD does not receive any amounts from the Gas Fee or determine the
amount of the Gas Fee;
-
BREAD is not responsible for the amount of the Gas Fee as it is
outside of BREAD’s control and BREAD may not be aware of its specific amount for a particular
operation due to the way blockchain technology works.
-
TAXES
-
The User is solely responsible for:
-
determining whether and to what extent any taxes apply to Supported
Crypto-Assets transactions made by the User in connection with using
the Services and to determine the rules for withholding, collecting,
reporting and remitting the correct amounts of taxes to the relevant
tax authorities (if applicable);
-
declaring all receipts and debits of any of User’s Supported
Crypto-Assets in connection with the use of the Services, including
for the purposes of national tax returns and any related
returns.
-
The User releases BREAD from any and all liability in the event of the User's
failure to comply with the provisions set out in this Section 19. TAXES. BREAD is not responsible for the User's failure to comply with
the tax obligations set out in this Section 19. TAXES.
-
THIRD-PARTY SERVICES
-
The Platform may contain hyperlinks to external services or websites
of Third-Parties. These Terms do not apply to such Third-Party
services, websites, or content, unless expressly stated otherwise in
these Terms. If the User uses them, he/she does so at his/her own risk
and subject to the relevant terms of services and privacy policy of
such Third-Parties. We recommend that you read their terms of service
and privacy policies for further information before accessing or using
Third-Party services or websites. BREAD is not responsible for any Third-Party services, websites, or
content accessed via a hyperlink from the Platform, including for
their accuracy and/or completeness.
-
INTELLECTUAL PROPERTY RIGHTS
-
BREAD grants to the User a non-exclusive, non-transferable,
royalty-free, copyright license, without the right to sub-license, to
use the Platform and the Services in accordance with these
Terms.
-
The Content, which includes graphical elements, is protected by
copyright, trademark protection rights (or priority rights to register
trademarks), and other intellectual property. BREAD does not assign any copyrights or provide any licenses to use
the BREAD Content outside of the license set out in this Section 21. INTELLECTUAL PROPERTY RIGHTS. Any use of the BREAD Content outside of the scope of the license, may constitute a
breach of BREAD’s intellectual property rights.
-
The User recognizes and accepts that the Platform may include content
or characteristics that are safeguarded by copyright, patent,
trademark, trade secret, or other exclusive rights and laws. The User
may not modify, copy, frame, scrape, rent, lease, loan, publish, sell,
distribute, remove any proprietary notices or labels, or develop
derivative works based on the Platform, the Services, in whole or in
part, except as explicitly authorized by BREAD.
-
When using the Platform, the Services, or any of their components or
features made available to the User, the User may not engage in or utilise any data mining, robots, scraping, or similar data gathering or
extraction methods. Any utilization of the Platform or the Services
other than as specifically authorized herein is entirely prohibited.
The technology and software underlying the Platform or disseminated in
connection with it are the property of BREAD, its affiliates, and its partners. The User agrees not to copy,
modify, create a derivative work of, reverse engineer, reverse
assemble, or attempt to discover any source code, sell, assign,
sublicense, or otherwise transfer any right in connection with the
Platform or the Services.

BREAD retains all right, title and interest in all of the BREAD’s intellectual property, including, without limitation, ideas,
concepts, discoveries, processes, code, compositions, formulae,
methods, techniques, information, data, patents, models, rights to
inventions, copyright and neighbouring and related rights, moral
rights, trademarks and service marks, business names and domain names,
rights in get-up and trade dress, goodwill and the right to sue for
passing off or unfair competition, rights in designs, rights in
computer software, database rights, rights to use, and protect the
confidentiality of, confidential information (including know-how and
trade secrets), and all other intellectual property rights, in each
case whether patentable, copyrightable or protectable in trademark,
registered or unregistered, and including all applications and rights
to apply for and be granted, renewals or extensions of, and rights to
claim priority from, such rights and all similar or equivalent rights
or forms of protection which subsist or will subsist now or in the
future in any part of the world.

TERMINATION OF THE AGREEMENT
-
The User may terminate the Agreement at any time, with or without
cause, and with an immediate effect by either deleting the Platform
from the User’s device or by contacting BREAD by email: contact@bread.gg.
-
If the User is a Consumer, the User generally has the right to
withdraw from the Agreement within 14 days following the
Agreement’s conclusion.
-
BREAD may terminate the Agreement with immediate effect if any of
these valid reasons arise:
-
the User is in breach of these Terms, in particular the rules of
conduct set out in Section 10. GENERAL RULES OF USE OF THE SERVICES;
-
the User grossly violates Applicable Law or the rights of BREAD or Third-Parties in connection with the User's use of the
Services, in particular intellectual property rights;
-
the User carries out activities detrimental to BREAD or Third-Parties, in particular activities that violate or
threaten the security of ICT Systems;
-
the User uses the Platform or the Services in a manner contrary to
their purpose or scope as set out in these Terms;
-
the User attempts to gain unauthorised access to the App;
-
the User overcomes software security features that restrict or
protect the use of Content;
-
it is required under the Applicable Law or requested by a lawful and
binding order issued by law enforcement authorities, court of law, or
other public authorities (if applicable under the Applicable
Law).
-
AMENDMENTS TO THE TERMS
-
BREAD reserves the right to amend these Terms for important reasons,
i.e.:
-
in the event of a change in legislation, the need to adapt these
Terms to the Applicable Law directly affecting these Terms and
resulting in the need to modify them to comply with the Applicable
Law;
-
the need to adapt these Terms to recommendations, orders, rulings,
provisions, interpretations, guidelines, or decisions of authorised
public authorities;
-
extending or changing the functionality of the App, including the
introduction of new services provided electronically or changing the
existing functionality of the App;
-
changing the technical conditions for the provision of the
Services;
-
the need to rectify any ambiguities, errors, or clerical mistakes
that may have occurred in these Terms;
-
changing the contact details, names, identification numbers,
electronic addresses, or links provided in these Terms;
-
to prevent abuse or for security reasons, including to enable the
Services to be used in a legally compliant manner;
-
improving the quality of customer service.
-
If the User is a Consumer, BREAD will inform the User of the planned change to these Terms by
publication on the Platform and by notification in the App’s
interface. In such case, BREAD will provide the User who is a Consumer with:
-
the content of the planned change to these Terms;
-
the effective date of the change no less than 7 days prior to such
change;
-
the consolidated text of the amended Terms.
-
If the User does not agree to the proposed changes of these Terms,
the User is entitled to terminate the Agreement, effective on the day
immediately preceding the date of the proposed amendment. In such case
the User must delete the Platform from the User’s device and
cease from using the Platform or the Services.
-
Subject to the mandatory provisions of the Applicable Law, continued
use of the Platform or the Services means that the User agrees to be
bound by the current version of the Terms.
-
LIABILITY OF BREAD
-
BREAD is liable for providing the Platform and the Services.
-
Subject to the mandatory provisions of the Applicable Law and other
provisions of these Terms, our total liability on any basis (i.e.
contractual, tort) for damages caused by BREAD to the User who is not a Consumer in any calendar year of these
Terms shall be limited to an amount equal to 100 BZD (liability
limitation).
-
Subject to the mandatory provisions of the Applicable Law and to the
extent such provisions are admissible as regards the Consumers, BREAD shall not be liable (liability exclusion):
-
for investment, Crypto-Assets or financial decisions made on the
basis of the Content or for the results obtained on the basis of the
Content;
-
for restricting, delaying, or preventing, in whole or in part, the
User’s access to the Platform or the Services as a result of
acts, events, omissions, or accidents beyond its reasonable control,
including strikes, failure of public utility services, or
telecommunications network, including the Internet or blockchain
network, war, riot, civil commotion, or malicious damage;
-
for restricting, delaying, or preventing, in whole or in part, the
User’s access to the Platform or the Services due to necessary
maintenance, upkeep, or development work (including updates) in
relation to the Platform or the Services;
-
for damage caused by circumstances beyond its direct or indirect
control;
-
for Third-Party Services, including their accuracy and
completeness;
-
for acts or omissions of the User, in particular for damages caused
by illegal use of any of the Services;
-
for loss or damage suffered by the User as a result of the illegal or
fraudulent activities of Third-Parties;
-
for loss or damage suffered by the User due to the dissemination of
the Prohibited Content;
-
for damages resulting from ICT Systems, for the operation of which BREAD is not responsible, including the Internet or blockchain
networks, in particular for (i) failures, disruptions, errors,
distortions, or delays in communication when using the Internet or the
blockchain network; (ii) any losses incurred by the User as a result
of using the blockchain network or other DLT solutions, including
losses, damages or claims arising from it; (iii) User error (e.g.
forgotten access information such as private keys, or misconstrued
smart contracts or other transactions); (iv) errors or faults arising
from blockchain technology (v) changes to protocol rules, protocol
bifurcations and/or forks; (vi) technical problems with nodes; (vii)
server failure or data loss; (viii) corrupted files; (ix) any
other failures, disruptions, errors, distortions, or delays in
communication when using the Internet or the blockchain network;
-
for any mistake, error, or defect that may arise from the
User’s activity as a result of the entry of incorrect,
incomplete, or mistaken data into the App’s interface;
-
if permitted by the Applicable Law, for lost profits, loss of
goodwill or loss of data in cases where this is due to an act or
omission of Third-Parties for which BREAD is not responsible;
-
for any Supported Crypto-Assets held in the User’s BREAD Custodial Wallet that are lost, stolen, destroyed, burned, or otherwise made
permanently inaccessible due to the User’s instructions or
actions, such as ordering BREAD to transfer such Supported Crypto-Assets held in the User’s BREAD Custodial Wallet to a burn address;
-
for use of Crypto-Assets other than Supported Crypto-Assets by the
User in connection with the use of the Platform and/or the
Services.
-
The Sections 24.2.-24.3. do not deprive the Consumer of the protection(s) afforded to
him by the provisions that cannot be derogated from by agreement by
virtue of the law of the country where the Consumer has his habitual
residence, as well as do not restrict any rights of the Consumer that
cannot be excluded or limited by the Applicable Law. If the Consumer
has such protection(s) or rights that cannot be limited, the relevant
provisions of the Applicable Law will apply.
-
COMPLAINTS
-
BREAD shall exercise due diligence to ensure that the Platform and
the Services operate at an appropriate level.
-
The User has the right to report objections and errors in the
functioning of the Platform and the Services by contacting BREAD:
-

-
by mail to the following address: contact@bread.gg with the “COMPLAINT” annotation on the envelope.
-
The User should state in the complaint:
-
the contact details required to send a reply to the complaint or
claim;
-
a detailed description of the event giving rise to the
complaint;
-
demands of the User making the complaint.
-
BREAD may ask the User to provide additional information to the
extent necessary to provide a complete response.
-
Complaints and notifications will be dealt with immediately, no later
than within 14 days, unless a shorter time limit for responding to the
complaint arises from the provisions of the Applicable Law
-
User’s failure to provide the information set out in Section 25.3 or incomplete provision of such information may make it
difficult or impossible for BREAD to respond to the complaint.
-
A complaint may be submitted anonymously if providing the User's
personal data is not necessary for processing the complaint.
-
BREAD will send the User a response to the complaint to the email
address from which the complaint was sent unless the User has
indicated that he/she wishes to receive a response to a different
email address.
-
Complaints shall be considered on the basis of the provisions of
these Terms and the governing law subject to Section 26. GOVERNING LAW.
-
GOVERNING LAW
-
These Terms will be governed by the law of Panama subject to Section 26.2 below. In matters not regulated by these Terms, the relevant
provisions of the Applicable Law shall apply.
-
For the avoidance of doubt, these Terms shall not limit any rights
the Users may have as a Consumer that cannot be excluded or limited
under the Applicable Law. In the event that User as a Consumer has
such rights which cannot be excluded or limited, the provisions of the
Applicable Law shall apply.
-
DISPUTES
-
If any disputes arise in the future concerning these Terms, they will
be settled by a court of competent jurisdiction, subject to Section 27.1 below.
-
If a dispute, claim or any matter arises in connection with these
Terms, the User may contact BREAD in accordance with Section 2. CONTACT.
-
PRIVACY AND PERSONAL DATA PROTECTION
-
BREAD uses your personal data in accordance with Applicable Law,
including the GDPR. Information on processing of the User's
personal data and information on cookies can be found in the Privacy
Policy.
-
FINAL PROVISIONS
-
The currently applicable and binding Terms are available on the
Platform in a form that enables their recording, storage, and
reproduction by the User at: https://app.bread.gg/terms-and-conditions.
-
The Terms enter into force on 18th November 2024.
-
The Terms are effective for an indefinite period.
-
If any provision of these Terms is declared invalid or ineffective in
whole or in part by a court of law or another competent authority, or
if the invalidity or ineffectiveness of any provision of these Terms
results from binding legal provisions, or if any provisions prove
impossible to implement in whole or in part, the remaining provisions
of these Terms shall remain in full force and effect.

All warranties, representations, conditions, and all other terms of
any kind whatsoever implied by statute or common law are excluded from
these Terms to the fullest extent permitted by the Applicable
Law.
-
DEFINITIONS
-
Capitalized terms used in these Terms, unless expressly stated
otherwise, shall have the following meaning:
-
Applicable Law – any and all applicable laws, statutes, ordinances,
orders, regulatory requirements, rules and regulations, and other
similar legal instruments, whether state, EU, federal or local, in
force at any time in relation to the User or BREAD in connection with the use of the Platform.
-
USDC$ – The balance on the User’s BREAD Custodial Wallet is represented in the Platform’s
interface by USDC$ with each USDC$ being equivalent to one US
dollar.
-
Consumer – any natural person making a legal transaction with BREAD which is not directly related to his/her professional or
business activity.
-
Content – any content, comments, remarks, data, information,
text, photos, images, digital or other material displayed by BREAD or made available by BREAD by any other means on or through the Platform.
-
Crypto-Assets – a digital representation of a value or of a right that
is able to be transferred and stored electronically using distributed
ledger technology or similar technology.
-
Crypto-Asset Account – an account held by a crypto-asset service provider in
the name of one or more natural or legal persons and that can be used
for the execution of transfers of Crypto-Assets.
-
Crypto-Asset Self-Hosted Address – an alphanumeric code that identifies an address on a
network using DLT or similar technology where Crypto-Assets can be
sent or received.
-
Gas Fee – the amount payable by a User to the network validators
for conducting a blockchain transaction ordered by the User through
the Platform, which is charged by the network validators. The Gas Fee
is not a BREAD fee, it is not imposed by BREAD and BREAD does not receive any amounts paid by the User as a Gas
Fee.
-
ICT Systems – a set of interoperable computing devices and software
providing for the processing and storage of data as well as the
sending and receiving of data over telecommunications networks,
including all computers, communications, electronic, data processing,
or cloud systems used by BREAD or the User in relation to the use and/or provision of the
Platform and/or the Services.
-
Instructions - are both (i) the instructions given or directed via the
Platform from the User to BREAD or, if BREAD gives its prior written consent, received by BREAD directly from the User via any medium other than the Platform
(e.g. via email); and (ii) the rules of BREAD as set out in these Terms, including the rules under Applicable
Law.
-
Order - a Sell Order or a Purchase Order.
-
BREAD Custodial Wallet - Crypto-Asset Account provided by BREAD to the User where the User is the owner of all Supported
Crypto-Assets held therein and BREAD is a custodian thereof acting under instructions of the
User.
-
Platform – the website operated by BREAD available at: bread.gg.
-
Privacy Policy – the Privacy Policy of the BREAD.GG Platform available at: https://app.bread.gg/privacy-policy].
-
Prohibited Content – any content, comments, remarks, data, information,
text, photos, images, digital or other material made, shared, used or
uploaded by the User other than the Content that (i) infringes any
intellectual property or other proprietary rights of BREAD or any Third-Party; or (ii) contains viruses or any other
computer code, files or programs designed to interrupt, destroy or
limit the functionality of any of the Platform or the Services; or
(iii) constitutes or poses a threat to the privacy or security of any
person; or (iv) constitutes unsolicited or unauthorized advertising or
commercial activity; or (v) is unlawful, harmful, threatening,
abusive, harassing, defamatory, obscene, pornographic, libelous, or
otherwise objectionable; or (vi) in the sole judgment of BREAD, is inappropriate or restricts or inhibits others from using the
Platform or the Services, or may expose BREAD or Users to any damage or liability of any kind.
-
Purchase Order – an instruction made by the User to BREAD ordering BREAD to purchase Crypto-Assets of the User on behalf of the User via
the Platform, which involves the transfer of the User’s
Crypto-Assets to another User’s Custodial Wallet in exchange for
the corresponding Crypto-Assets.
-
Restricted Countries – countries and their territories and dependencies as defined
in Annex no. 1 to these Terms.
-
Restricted Individuals – means the following:
-
natural persons who reside, are citizens of or ale located in
Restricted Countries;
-
natural persons who subject to national or international sanctions,
including sanctions adapted by Panama, United Nations or the European Union;
-
politically exposed persons, i.e. natural persons who are or who have been
entrusted with prominent public functions and includes the
following:
-
heads of State, heads of government, ministers and deputy or
assistant ministers;
-
members of parliament or of similar legislative bodies;
-
members of the governing bodies of political parties;
-
members of supreme courts, of constitutional courts or of other
high-level judicial bodies, the decisions of whose are not subject to
further appeal, except in exceptional circumstances;
-
members of courts of auditors or of the boards of central
banks;
-
ambassadors, chargés d'affaires and high-ranking officers
in the armed forces;
-
members of the administrative, management or supervisory bodies of
State-owned enterprises;
-
directors, deputy directors and members of the board or equivalent
function of an international organisation.

middle-ranking or more junior officials;
-
family members of politically exposed persons, including:
-
the spouse, or a person considered to be equivalent to a spouse, of a
politically exposed person;
-
the children and their spouses, or persons considered to be
equivalent to a spouse, of a politically exposed person;
-
the parents of a politically exposed person;
-
persons known to be close associates of politically exposed person,
including:
-
natural persons who are known to have joint beneficial ownership of
legal entities or legal arrangements, or any other close business
relations, with a politically exposed persons;
-
natural persons who have sole beneficial ownership of a legal entity
or legal arrangement which is known to have been set up for the de
facto benefit of a politically exposed person.
-
Sell Order – an instruction made by the User to BREAD ordering BREAD to sell Crypto-Assets of the User on behalf of the User via the
Platform, which involves the transfer of the User’s
Crypto-Assets to another User’s Custodial Wallet in exchange for
the corresponding Crypto-Assets.
-
Supported Crypto-Asset – Crypto-Assets that can be used in connection with the
Platform or the Services listed in Annex no. 6 to these Terms.
-
Terms – these Terms of Service of the BREAD.GG Platform
-
Third-Party – an entity other than the User or BREAD.
-
Third-Party Service – services or solutions provided by a Third-Party that
are linked to in the Platform.
-
Transaction - is an operation carried out by BREAD under an Order in accordance with the Instructions, which consists of an exchange between Crypto-Assets.
-
User ("you", "your", etc.) – a natural or
legal person using the Platform and/or the Services.
-
Wallet – a Crypto-Asset Account or a Crypto-Asset Self-Hosted
Address.

INSTRUCTIONS ON WITHDRAWAL
Right of withdrawal
If you are a consumer, you have the right to withdraw from this
contract within 14 days without giving any reason. The withdrawal
period will expire after 14 days from the day of the conclusion of

Effects of withdrawal

of standard delivery offered by us), without undue delay and in
any event not later than 14 days from the day on which we are
informed about your decision to withdraw from this contract. We
will carry out such reimbursement using the same means of payment
as you used for the initial transaction, unless you have expressly
agreed otherwise; in any event, you will not incur any fees as a
result of such reimbursement

ANNEX NO. 3 – RISK NOTICE
1. The User acknowledges and understands that the Crypto-Assets, being
beyond the control of the BREAD, are inherently exposed to various risks and uncertainties.
2. The User accepts and acknowledges each of the following risks:
-
the prices of Crypto-Assets are extremely volatile and that the
changes in the price of all kinds of Crypto-Assets could materially
and adversely affect their value;
-
the Crypto-Assets are digital assets that exist only by virtue of the
ownership record maintained in the certain blockchain. All smart
contracts are conducted and occur on the decentralized ledger. BREAD has no control over, and make no guarantees, warranties or
promises with in relation to smart contracts;
-
BREAD will not be liable to the User for any losses the User incurs
as a result of the User’s use of the blockchain technology. This
includes, but is not limited to, losses, damages or claims arising
from (i) the User error (e.g. forgotten access information (such as
private keys, seeds or mnemonics or incorrectly construed smart
contracts or other transactions); (ii) server failure or data loss;
(iii) corrupted wallet files; (iv) unauthorized access or activities
by the Third-Parties, including but not limited to the use of viruses,
phishing, or other means of attack against the Platform or any other
tool connected to the Platform. The BREAD is also not responsible for losses due to blockchains, or any
other tool connected to the Platform, including but not limited to
late report (or no report) by developers or representatives of any
issues with the blockchain, including forks, technical node issues or
any other issues having fund losses as a result;

there are inherent security risks in providing information and
dealing online over the Internet. BREAD implements appropriate technological and organizational
safeguards to reduce the risk of any security breaches which could
result in the accidental or unlawful destruction, loss, alteration,
disclosure or access to the User’s information. BREAD also releases periodic updates to reduce the risk of security
incidents;

there are risks associated with using Internet-based assets,
including, but not limited to, the risk of hardware, software and
Internet connections, the risk of malicious software introduction, and
the risk that the Third-Parties may obtain unauthorized access to
information stored on the Wallet(s). The User accepts and agrees that BREAD shall not be responsible for any communication failures,
disruptions, errors, distortions or delays the User may experience
when using blockchains, however caused;

the User acknowledges that cryptography is a progressing field.
Advances in code cracking or technical advances such as the
development of quantum computers may present risks to Crypto-Assets
and the Platform, which could result in the theft or loss of the
Crypto-Assets. To the extent possible, it is intended to update the
protocol underlying the Platform to account for any advances in
cryptography and to incorporate additional security measures but does
not guarantee or otherwise represent full security of the system. By
using the Platform, the User accepts these inherent risks;

the User is aware of and accept the risk of operational challenges.
The Platform may experience sophisticated cyber-attacks, unexpected
surges in activity or other operational or technical difficulties that
may cause interruptions to or delays on the Platform. The User agrees
to accept the risk of the Platform failure resulting from
unanticipated or heightened technical difficulties. The BREAD does not guarantee that the Platform is or will remain updated,
complete, correct or secure, or that access to the Platform will be
uninterrupted. The Platform may include inaccuracies, errors and
materials that violate or conflict with these Terms. Additionally, the
Third-Parties may make unauthorized alterations to the Platform or the
software underlying the Platform. Accordingly, the User should verify
all information on the Platform before relying on it, and all
decisions based on information contained on the Platform are the
User’s sole responsibility and we will have no liability for
such decisions.
ANNEX NO. 4 – FEES SCHEDULE

This annex outlines the fee schedule applicable to all transactions
conducted on our platform. By using our services, you acknowledge and
agree to the fees described herein.

For every transaction involving the buying or selling of assets on
our platform, a platform fee of 0.5% will be applied to the total transaction value.

In addition to the platform fee, transactions executed on the
blockchain are subject to gas fees and other transaction fees that
vary based on network congestion and other factors. These fees are
determined by the respective blockchain network and are beyond our
control. Users are solely responsible for paying these fees, which
will be deducted directly from the transaction.

Some cryptocurrencies, tokens, or digital assets may be subject to
additional taxes or fees imposed by the issuer or regulatory
authorities. These fees are independent of our platform and will be
deducted as per the asset’s underlying protocol or tax
requirements. Users are responsible for any such fees when conducting
transactions involving these assets.

We do not control, collect, or benefit from blockchain gas fees,
third-party transaction fees, or tax obligations on specific assets.
These charges are imposed externally and fluctuate based on market
conditions, blockchain protocol rules, and jurisdictional tax laws. By
using our platform, you acknowledge that we are not responsible for
these costs and that you bear full responsibility for their
payment.

All applicable fees, including the platform fee, estimated gas fees,
and applicable taxes (if any), will be displayed at the time of the
transaction. Users should review these fees before proceeding with any
transaction.

We reserve the right to amend this fee schedule at any time. Any
changes will be communicated via our platform, and continued use of
our services constitutes acceptance of the updated fee schedule.
